Start with the situation.
Work through the detail.
A portfolio’s final investments rarely fit a standard brief. We begin with your objectives, then assess whether there is a practical basis for an acquisition.
- 1
Start a conversation
Share a brief overview of your holdings and what you want to achieve. No documents or company names needed to start.
- 2
Explore the fit
We review the opportunity, discuss confidentiality and identify the information needed to assess a possible acquisition.
- 3
Work towards a transfer
If we’re aligned, we discuss terms and a transfer, subject to diligence, documentation and the necessary consents.
Investment judgement. Attention to execution.
The value of an asset is only part of the equation.
We consider the quality of available information, the rights attached to a holding, ongoing obligations, transfer restrictions and the consents needed to complete a transaction.
Pricing and timing follow from that assessment. Any acquisition remains subject to diligence and agreed documentation.
Confidentiality from the outset
An initial enquiry only needs a non-confidential overview. We can discuss an NDA before company names, cap tables or sensitive documents are shared.
Direct access to the buyer
You can discuss the opportunity with our team. Managers, investors and their appointed advisers are welcome to get in touch.
Questions about the process.
What types of positions do you consider?
We consider residual venture capital and private equity holdings, including tail-end portfolios, individual private company stakes and assets held in SPVs. Our initial criteria are broad: the economics, available information and feasibility of a transfer matter more than a rigid size threshold.
Can I approach you with a small portfolio?
Yes. Smaller and overlooked holdings are central to the opportunity we consider. Share an approximate value and number of positions, even if the latest marks are low or the path to an exit is uncertain. For larger portfolios, we can arrange a syndication with secondaries players in our network.
Are you a buyer or an intermediary?
We assess opportunities with a view to acquiring positions as a principal. This is a direct conversation with a potential buyer. However, for large portfolios, we may offer to involve other secondaries players in our network. An enquiry does not commit either party to a transaction.
What information do you need to get started?
A short, non-confidential overview is enough: your role, the type of holdings, approximate portfolio value and your preferred timing. There is no need to share company names, a cap table or documents in the first enquiry.
Can we put an NDA in place first?
Yes. Indicate that you would like an NDA in your enquiry. We can discuss confidentiality arrangements before exchanging sensitive portfolio information.
How are pricing and timing determined?
Both depend on the assets, the available information and any transfer or consent requirements. We discuss a possible route after an initial review. We do not promise a valuation or completion date before understanding the opportunity.
Let’s make room for what’s next.
A discreet conversation with a potential buyer. A high-level overview is all we need to begin.
